Terms of Service

These Terms of Service govern your access to and use of PostMite, a service operated by Nelson Technology Group, LLC (“PostMite,” “NTG,” “we,” “our,” or “us”).
By creating an account, purchasing a subscription, or using PostMite, you agree to these Terms of Service, our Privacy Policy, and our Content and Takedown Policy.
If you do not agree to these terms, do not create an account or use PostMite.
1. Eligibility and Account Registration
You must be at least 13 years old to use PostMite. If you are under the legal age of majority where you live, you may use PostMite only with the permission and supervision of a parent or legal guardian.
You must provide accurate account information and keep your login credentials secure. You are responsible for activity occurring through your account unless you promptly notify us that your account has been accessed without permission.
You may not share your account in a way that allows unauthorized people to access PostMite or avoid purchasing an appropriate subscription.
2. Description of PostMite
PostMite is an AI-assisted social media planning and content creation tool intended primarily for creators, small businesses, and other users who want help creating and organizing social media posts.
Depending on the features currently available, PostMite may help you:
- Develop social media post ideas
- Generate draft captions and other written content
- Format and organize planned posts
- Save posts and content ideas
- Select the platforms on which you intend to publish
- Create schedules and receive posting reminders
- Track your own intended posting workflow
PostMite does not automatically publish posts to social media platforms and does not require you to connect your social media accounts.
You remain responsible for manually copying, uploading, reviewing, and publishing your content on the social media platforms you choose.
Platform names, logos, buttons, or icons displayed inside PostMite may be used solely as organizational labels or reminders. Their appearance does not mean that PostMite is integrated with, sponsored by, endorsed by, or affiliated with those platforms.
3. AI-Generated Content
PostMite uses artificial intelligence to help generate captions, post ideas, formatting suggestions, and related content. AI-generated material may sometimes be inaccurate, incomplete, repetitive, inappropriate, outdated, or unsuitable for your particular business or audience.
You are responsible for:
- Reviewing all AI-generated material before using it
- Editing content to match your business, voice, and audience
- Checking names, dates, prices, claims, links, and other facts
- Ensuring that your content complies with applicable laws
- Ensuring that your content complies with platform rules
- Obtaining any required permissions, licenses, or disclosures
PostMite does not guarantee that generated content is original, unique, accurate, legally compliant, or free from third-party claims. Similar or identical content may be generated for other users.
PostMite does not provide legal, financial, medical, tax, or other professional advice. You should consult an appropriate professional before relying on generated content involving regulated, professional, or high-risk subjects.
4. Your Content and Ownership
You retain ownership of the topics, instructions, drafts, captions, notes, images, and other materials you submit to PostMite (“User Content”).
As between you and PostMite, and to the extent permitted by applicable law, you own the output generated specifically for you through PostMite.
You grant PostMite a limited, nonexclusive license to host, store, reproduce, process, transmit, and display your User Content only as reasonably necessary to operate, secure, maintain, and improve the service or comply with applicable law.
You represent that you have the legal right to submit and use all User Content you provide. You may not upload or use content that infringes another person’s copyright, trademark, privacy, publicity, contractual, or other legal rights.
5. Acceptable Use
You may not use PostMite to create, store, promote, or distribute:
- Illegal content or content promoting illegal activity
- Fraudulent, deceptive, or intentionally misleading content
- Spam, scams, phishing, or manipulative engagement schemes
- Harassment, threats, stalking, bullying, or intimidation
- Hateful or dehumanizing content targeting protected groups
- Sexual exploitation or content involving minors
- Malware, harmful code, or instructions intended to compromise systems
- Content that infringes intellectual-property or privacy rights
- Content impersonating another person or organization without authorization
- Personal or confidential information you lack permission to use
- Content that violates the rules of a platform on which you publish it
You may not attempt to bypass account restrictions, interfere with PostMite’s operation, probe for vulnerabilities, access another user’s data, reverse engineer protected portions of the service, or use automated methods to overload or abuse the service.
We may investigate suspected violations and may suspend or terminate accounts when reasonably necessary to protect users, PostMite, NTG, our service providers, or the public.
6. Social Media Platforms
Your use of Facebook, Instagram, TikTok, LinkedIn, X, Threads, Pinterest, YouTube, Lemon8, or any other social media platform is governed by your separate agreement with that platform.
PostMite does not control and is not responsible for:
- Platform rules, algorithms, outages, or feature changes
- Whether a platform accepts, removes, limits, or promotes a post
- Account warnings, restrictions, suspensions, or bans
- Changes in reach, engagement, followers, sales, or revenue
- Errors made while manually copying or publishing content
- Content or services provided by third-party platforms
PostMite does not guarantee any particular level of engagement, audience growth, leads, sales, revenue, or other business result.
7. Third-Party Service Providers
PostMite relies on third-party providers for functions such as artificial intelligence, account authentication, hosting, database storage, email delivery, analytics, and payment processing.
Those services may occasionally become unavailable, experience delays, change their features, or alter their terms. PostMite is not responsible for interruptions or losses caused by circumstances outside our reasonable control.
Your use of certain features may also be subject to the applicable terms and privacy practices of those third-party providers.
8. Subscriptions and Automatic Renewal
PostMite subscriptions are billed in advance on a recurring basis at the price and billing interval displayed when you subscribe.
Unless you cancel, your subscription automatically renews at the end of each billing period, and you authorize our payment processor to charge the payment method associated with your account.
Applicable taxes may be added where required by law.
You are responsible for keeping your payment information current. If a payment cannot be completed, we may retry the payment, restrict paid features, or suspend the subscription until payment is received.
9. Founding and Promotional Pricing
PostMite may occasionally offer founding, early-bird, introductory, discounted, or promotional pricing. Any additional conditions shown at signup are incorporated into these Terms.
When a founding price is expressly offered as being retained while continuously subscribed, that price remains available only while the qualifying subscription remains active and in good standing.
Cancelling the subscription, allowing it to lapse, failing to make payment, receiving a refund or chargeback, or having the account terminated may permanently end eligibility for the founding price.
If a former subscriber later returns, the subscription may be offered only at the price then available to new or returning customers.
10. Cancellation
You may cancel your subscription at any time using the cancellation option provided through your account, when available, or by emailing support@postmite.com from the email address associated with your account.
Your cancellation will take effect no later than the end of your current paid billing period. You may continue using paid features through the remainder of that period unless your account is suspended or terminated for a violation of these Terms.
Cancelling prevents future renewal charges but does not automatically refund charges already paid.
You are responsible for cancelling before your next renewal date if you do not want the subscription to renew.
11. Refunds
Subscription charges are generally nonrefundable once a billing period begins. We do not ordinarily provide prorated refunds or credits for unused time, partially used billing periods, forgotten cancellations, or lack of use.
Refunds may be issued when required by applicable law or when PostMite expressly agrees to provide one.
Nothing in these Terms limits any nonwaivable refund or cancellation right provided by applicable law.
12. Price and Service Changes
We may change standard subscription prices, features, usage limits, or billing options. When legally required, we will provide reasonable notice before a price change applies to a future renewal.
A price change does not override a continuously maintained founding price when PostMite expressly promised that the qualifying price would remain in effect while continuously subscribed, unless a different change is required by law, tax, payment-processing costs, abuse prevention, or circumstances that make continued performance commercially impracticable.
We may add, modify, limit, replace, or remove service features as PostMite develops. We do not guarantee that every feature will remain available permanently.
13. Account Suspension and Termination
You may stop using PostMite at any time. Cancelling a paid subscription does not necessarily delete your account.
We may suspend, restrict, or terminate an account when we reasonably believe that:
- You violated these Terms or applicable law
- Your account presents a security or fraud risk
- Your payment is overdue or disputed
- Your conduct may harm PostMite, NTG, another user, or a third party
- Suspension is necessary to investigate abuse or protect the service
When practical, we may provide notice and an opportunity to correct the issue. We may act immediately in serious, repeated, fraudulent, unlawful, or security-related situations.
You should retain your own copies of any content you consider important. Following account deletion or termination, stored content may be deleted in accordance with our Privacy Policy and applicable data-retention requirements.
14. PostMite Intellectual Property
PostMite, Nelson Technology Group, LLC, the PostMite name, logos, software, interface, website design, documentation, and other proprietary materials are owned by NTG or its licensors and are protected by applicable intellectual-property laws.
These Terms give you a limited, personal, nonexclusive, nontransferable, and revocable right to use PostMite during the term of your account. They do not transfer ownership of PostMite or its underlying technology to you.
You may not copy, sell, sublicense, distribute, or commercially exploit PostMite’s software or branding except with our written permission.
15. Feedback
You may voluntarily provide ideas, suggestions, comments, or other feedback about PostMite. You grant us permission to use that feedback without restriction or compensation, provided that we do not publicly identify you as its source without permission.
16. Privacy
Our collection, use, storage, and disclosure of personal information are described in the PostMite Privacy Policy.
By using PostMite, you acknowledge that data may be processed by service providers that help us operate features such as authentication, artificial intelligence, hosting, storage, and payment processing.
17. Service Availability
We work to keep PostMite available and reliable, but uninterrupted access is not guaranteed. The service may be temporarily unavailable because of maintenance, updates, technical problems, security incidents, internet outages, provider failures, or circumstances outside our control.
We may discontinue PostMite or a material portion of the service. If we discontinue a prepaid paid service before the end of a billing period, we may provide a prorated refund or credit when appropriate and legally required.
18. Disclaimer of Warranties
To the fullest extent permitted by law, PostMite is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory.
We do not warrant that PostMite will always be available, error-free, secure, accurate, suitable for every business, or capable of producing any particular marketing or financial result.
Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, these exclusions apply only to the extent permitted by law.
19. Limitation of Liability
To the fullest extent permitted by law, PostMite and Nelson Technology Group, LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost opportunities, lost data, reputational harm, or loss of social media access.
To the fullest extent permitted by law, our total liability for all claims arising from or relating to PostMite will not exceed the greater of:
- The amount you paid to PostMite during the 12 months before the event giving rise to the claim
- One hundred United States dollars
These limitations do not apply where liability cannot legally be limited or excluded.
20. Responsibility for Claims Arising From Your Use
To the extent permitted by law, you are responsible for claims, losses, damages, and reasonable expenses arising from:
- Your User Content
- Content you publish using material created with PostMite
- Your violation of these Terms
- Your violation of applicable law
- Your infringement of another person’s rights
- Your misuse of PostMite
21. Copyright and Takedown Requests
Copyright, trademark, privacy, and other content complaints should be submitted according to our Content and Takedown Policy .
PostMite does not publish content directly to social media platforms. If disputed content has already been manually published on a third-party platform, the person reporting it may also need to contact that platform directly.
22. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles, except where another law must apply.
Before filing a legal claim, you agree to contact us at support@postmite.com and provide a reasonable description of the dispute. Both parties agree to make a good-faith effort to resolve the matter informally for at least 30 days.
If the dispute cannot be resolved informally, it may be brought in a court of competent jurisdiction in the State of Georgia, unless applicable law requires a different location.
Nothing in this section prevents either party from seeking immediate relief when reasonably necessary to protect intellectual property, confidential information, account security, or personal safety.
23. Changes to These Terms
We may update these Terms as PostMite changes or as legal, operational, or security requirements develop.
The updated version will be posted on this page with a revised “Last updated” date. When legally required or when a change is material, we may also provide notice through PostMite, by email, or through another reasonable method.
Your continued use of PostMite after updated Terms take effect means that you accept the revised Terms. If you do not agree, you must stop using PostMite and cancel your subscription.
24. General Terms
These Terms, together with the Privacy Policy, Content and Takedown Policy, and any additional terms presented during signup or purchase, form the entire agreement between you and PostMite concerning the service.
If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision does not waive our right to enforce it later.
You may not transfer your account or assign these Terms without our written permission. We may assign these Terms as part of a merger, acquisition, restructuring, sale of assets, or transfer of the PostMite business.
Section headings are provided for convenience and do not limit the meaning of these Terms.
